Terms of Use

1. Acceptance of these terms

These Terms of Use (“Terms”) are an agreement between you and Dailylight LLC (“Dailylight”, “we”, “us” or “our”). They govern your use of the website at dailylightllc.com (the “Website”) and the mobile applications we publish (each an “App”; together with the Website, the “Services”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

Some Apps may have additional terms shown in the App or on its store listing. Those additional terms form part of these Terms for that App.

2. Eligibility

You must be at least 13 years old to use the Services. If you are under the age of majority where you live, you may use the Services only with the involvement and consent of a parent or legal guardian, who agrees to these Terms on your behalf.

3. App license and end user license agreements

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install and use each App on devices you own or control, for your personal, non-commercial use.

Apps downloaded from the Apple App Store. Unless an App is accompanied by its own custom end user license agreement, your use of that App is governed by Apple’s Licensed Application End User License Agreement (the “Standard EULA”), and these Terms supplement it. If these Terms conflict with the Standard EULA, the Standard EULA controls for that App. You acknowledge that these Terms are between you and Dailylight LLC only, not Apple; that Apple has no obligation to provide maintenance or support for the App; and that Apple and its subsidiaries are third-party beneficiaries of the Standard EULA and may enforce it against you.

Apps downloaded from Google Play. Your use of the App is also subject to the Google Play Terms of Service. These Terms are between you and Dailylight LLC, not Google.

4. In-app purchases and subscriptions

Some Apps may offer paid features, in-app purchases or auto-renewing subscriptions. All payments are processed by Apple or Google under their terms, not by Dailylight LLC. Prices are shown in the App before you buy. Subscriptions renew automatically unless cancelled at least 24 hours before the end of the current period. You can manage and cancel subscriptions in your App Store or Google Play account settings. Deleting an App does not cancel a subscription.

Refunds are handled by Apple or Google under their refund policies; we cannot issue refunds directly. Where a free trial is offered, any unused portion is forfeited when you purchase a subscription, where applicable.

5. Acceptable use

You agree not to:

  • use the Services in violation of any law or the rights of others;
  • copy, modify, distribute, sell or lease any part of the Services, except as permitted by law or these Terms;
  • reverse engineer, decompile or attempt to extract the source code of an App, except where the law allows it;
  • interfere with or disrupt the Services, or attempt to gain unauthorized access to them or to related systems;
  • use the Services to upload or share unlawful, harmful, infringing or abusive content;
  • use automated means to access the Services in a way that places an unreasonable load on them.

6. Your content

If an App lets you create or upload content, you keep ownership of your content. You grant us a limited license to host, store and process it only as needed to provide the App’s features to you. You are responsible for your content and confirm you have the rights to use it.

7. Intellectual property

The Services, including their software, design, text, graphics, logos and the Dailylight name, are owned by Dailylight LLC or its licensors and are protected by intellectual property laws. Except for the limited license granted in these Terms, no rights are granted to you. Apple, App Store, Google Play and other third-party marks belong to their respective owners.

If you send us feedback or suggestions, we may use them without any obligation to you.

8. Third-party services

The Services may link to or work with third-party websites and services (such as the App Store and Google Play). We do not control them and are not responsible for their content, policies or practices. Your use of them is governed by their own terms.

9. Privacy

Our Privacy Policy explains how we handle personal information. By using the Services, you acknowledge that policy.

10. Changes to the Services and termination

We may update, change, suspend or discontinue any part of the Services at any time. We may suspend or end your access to the Services if you violate these Terms. You may stop using the Services at any time by deleting the App and cancelling any subscriptions through the store. Sections that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability and governing law, will survive.

11. Disclaimers

The Services are provided “as is” and “as available”, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Services will be uninterrupted, error-free or secure, or that any content is accurate or complete.

Our Apps are for general consumer use and do not provide professional (for example, medical, legal or financial) advice unless an App expressly says otherwise. For Apps downloaded from the Apple App Store, to the maximum extent permitted by law, Apple has no warranty obligation with respect to the App.

Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.

12. Limitation of liability

To the maximum extent permitted by law, Dailylight LLC and its members, managers, employees and agents will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data or goodwill, arising out of or related to your use of or inability to use the Services, even if advised of the possibility of such damages.

To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the Services or these Terms is limited to the greater of (a) the amount you paid for the App or in-app purchase giving rise to the claim in the 12 months before the claim, or (b) US $50.

Some jurisdictions do not allow these limitations, so they may not apply to you. Nothing in these Terms limits liability that cannot be limited under applicable law.

13. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Dailylight LLC from any claims, losses and expenses (including reasonable attorneys’ fees) arising from your misuse of the Services or your violation of these Terms.

14. Governing law and disputes

These Terms are governed by the laws of the Commonwealth of Massachusetts, USA, without regard to its conflict-of-law rules. Subject to any mandatory rights you have under the laws of your place of residence, any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Massachusetts, and you and we consent to their jurisdiction. Before filing a claim, you agree to contact us first so we can try to resolve the issue informally.

15. Export and legal compliance

You represent that you are not located in a country subject to a U.S. government embargo, and that you are not on any U.S. government list of prohibited or restricted parties.

16. General

If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. These Terms, together with the Privacy Policy and any app-specific terms, are the entire agreement between you and us about the Services.

17. Changes to these Terms

We may update these Terms from time to time. When we do, we will update the “Last updated” date at the top of this page, and for material changes we will provide additional notice, such as in an App or on this Website. Continuing to use the Services after changes take effect means you accept the updated Terms.
